This Daely Wallet Policy (these “Wallet Terms”) governs your use of the Daely Wallet and any optional savings and investment features Daely may make available through it. These Wallet Terms are the “Daely Wallet Terms” referred to in the Daely Terms of Service and in service contracts entered into through the Platform, and they form part of your agreement with VisionBrain Inc., doing business as Daely (“Daely,” “we,” “us,” or “our”). Capitalized terms not defined here have the meaning given in the Daely Terms of Service.

1. About the Daely Wallet and These Terms

The Daely Wallet is provided through Cadana, Inc. (also operating as Cadanapay, “Cadana”) and, for certain features, Cadana's banking and brokerage partners. Daely offers the wallet under the Daely brand as a technology platform and facilitator; Cadana holds all client and Wallet funds in escrow through its underlying regulated banking and payment infrastructure; Daely does not hold your funds in its own accounts, does not take a profit on transfers, savings, or investments, and cannot access or move your wallet balance except as needed to operate the Platform or as required by law.

How Daely earns revenue. Daely earns revenue solely through a hiring commission charged to Clients on a successful hire, on a tiered scale from 15% (total hire value of $0.01–$500.00) down to 5% (total hire value of $100,000.00 and above); Candidates pay no fees. Daely may in the future also introduce platform subscription fees and additional paid features for Clients. Daely does not earn any revenue from the Daely Wallet, savings features, investments, payment transfers, FX spreads, or payment processing, all of which are provided by Cadana and its partners as described in these Wallet Terms.

An exception to the above section is Section 9(a) of the Terms of Service, under which mediation fees paid by a party raising a dispute are retained by Daely. 

These Wallet Terms work together with the Daely Terms of Service, the Privacy Policy, and Cadana's own terms and disclosures. Your use of the wallet, savings, and investment features is also subject to Cadana's (and its partners') terms, which you accept when you use those features. If these Wallet Terms conflict with Cadana's terms on a matter Cadana provides, Cadana's terms control for that matter; otherwise the Daely Terms of Service control.

2. Nature of the Wallet

   1. Stored value, in USD. The Daely Wallet is a USD-denominated stored-value account available to eligible Users regardless of their country of residence. Amounts shown are held in U.S. dollars until you withdraw or transfer them.

   2. Not a bank account. Neither Daely nor Cadana is a bank. The wallet is a payment and stored-value facility, not a bank or deposit account, and is not insured by the FDIC or any deposit-insurance scheme except to the extent, if any, expressly provided through a program-bank arrangement disclosed to you in writing.

   3. Daely's limited role. Cadana and its partners are responsible for holding funds and processing transactions, and, if and when Daely makes them available, for providing the savings and investment features described in Sections 8 and 9.

3. Eligibility and Verification

To open or use a Daely Wallet you must be at least 18 years old, hold an eligible Daely account, and pass identity verification and any know-your-customer (KYC) and anti-money-laundering (AML) checks performed by Cadana or its providers. Availability of the wallet and of any savings or investment feature depends on your jurisdiction and applicable law and may not be available everywhere. We or Cadana may request additional information at any time and may limit, suspend, or decline access to comply with law or manage risk.

Daely and Cadana may each independently request identity verification or additional documentation from you at any time, and may suspend or delay the processing of a payment where required to comply with KYC, AML, sanctions, or other applicable law.

4. Funding Your Wallet

Your wallet balance generally arises when funds are released to you under a service contract — for example, when a Client's milestone, one-time, or recurring payment is released from escrow held by Cadana. Funds are credited to your wallet after they are processed by Cadana. No amount is available to you until it has been funded by the Client and released in accordance with the applicable service contract.

5. Holding a Balance

You may hold a USD balance in your Daely Wallet. Daely does not earn interest, float, or any spread on funds held in your wallet. Any yield you earn arises only if you choose to use the optional savings or investment features described below, which are provided by Cadana and its partners.

6. Withdrawals, Transfers, Fees, and Timing

   1. Withdrawals to your bank. You may withdraw or transfer funds from your Daely Wallet to an eligible external bank account in your country, subject to verification and applicable limits.

   2. Fees. Currency-conversion, transfer, payment-processing, and similar fees, including any FX spread, may apply. These fees and spreads are charged by Cadana and/or the applicable banking or payment providers and vary by country and payment method. Daely does not add any markup on, or earn any profit from, these fees or FX spreads; the amount you receive may be reduced by such fees.

   3. Exchange rates. If your withdrawal is converted from USD to another currency, the applicable exchange rate is set by the payment provider and may include a margin. Rates change and are applied at the time of processing.

   4. Timing. Processing and settlement times vary by destination country, currency, banking partner, and provider, and are estimates only — for example, delivery may take a few business days in some countries and longer in others. Neither Daely nor Cadana guarantees any particular delivery time.

   5. Your details. You are responsible for providing correct payout details. Neither Daely nor Cadana is liable for delays, rejections, or losses caused by incorrect details you provide, banking partners, or circumstances beyond its reasonable control.

7. Wallet Fees

   1. Monthly wallet fee. A fee of US$10 applies for any calendar month in which your Daely Wallet processes at least one transaction. This fee reflects the cost charged by Cadana for global banking and transaction services. Daely does not collect any portion of this fee. Wallets with no transactions in a given month are not charged.

   2. Other fees. Transfer, currency-conversion, and provider fees may apply as described in Section 6. Except for pass-through fees, use of the Daely platform is free for Candidates.

8. Savings Feature

The Daely Wallet may make available an optional savings feature through which eligible balances can earn interest and are allocated to U.S. Treasury securities.

1. Variable, not guaranteed. Any advertised interest rate (including any rate of 3.18% per annum) is variable, is not guaranteed, and may change at any time without notice.

2. Access and withdrawals. You may generally withdraw amounts from savings, but a withdrawal may reduce or affect the interest you earn, and amounts may be subject to processing times.

3. Nature and risk. Amounts in savings are allocated to U.S. Treasury securities and are not bank deposits, are not insured against loss, and are not obligations of, or guaranteed by, Daely or Cadana. A statement that Treasuries are “backed by the U.S. government” describes the instrument only and is not a guarantee against loss; the value realized may be affected if amounts are withdrawn before maturity.

9. Investment Feature — U.S. Securities

The Daely Wallet may make available an optional feature to invest in U.S.-listed equities and other securities through Cadana's brokerage partner.

1. Provided by a broker partner. Securities trading is offered by a registered broker-dealer or its equivalent, not by Daely. Your use of this feature is subject to that provider's account terms and disclosures.

2. Risk of loss. Investing involves risk, including possible loss of principal. The value of investments can go down as well as up, and past performance does not guarantee future results. Investments are not bank deposits, are not insured against loss, and are not guaranteed by Daely or Cadana.

3. Your responsibility. You are solely responsible for your investment decisions and for any resulting gains or losses.

10. No Financial, Investment, or Tax Advice

Neither Daely nor Cadana provides investment, financial, legal, or tax advice, and nothing in the Platform or these Wallet Terms is a recommendation to buy, hold, or sell any product or security or to use any feature. You should seek independent advice where appropriate and make your own decisions.

11. Taxes

You are solely responsible for determining and meeting your tax obligations on any interest, gains, or other amounts you earn through the wallet, savings, or investment features, and for any reporting required in your jurisdiction. Daely and Cadana do not provide tax advice and will withhold or report only as required by applicable law.

12. Holds, Suspension, and Compliance

To comply with law and manage risk, Daely or Cadana may review, hold, delay, freeze, limit, or reverse transactions, or suspend or close a wallet, including where required for verification, sanctions or AML screening, suspected fraud or unlawful activity, legal process, or a dispute over escrowed funds. Where a hold is no longer necessary, affected funds will be released as soon as reasonably practicable, subject to Cadana's processes.

Daely may also suspend or terminate a User's Daely account, including wallet access, where Daely reasonably believes the account is involved in fraud, identity misuse, sanctions violations, suspicious payment activity, or other abuse of the Platform, in addition to any hold, freeze, or transaction limitation Cadana applies to wallet funds under this Section.

General suspension and termination of your Daely account — including the grounds for suspension and the procedure and timeline for resolution — are described in Section 21 of the Daely Terms of Service. Disputes over escrowed funds are addressed under Section 9 of the Daely Terms of Service. This Section addresses holds, freezes, and limitations specific to wallet funds and transactions, which Cadana administers.

13. Errors and Unauthorized Activity

Keep your account credentials secure and review your wallet activity. If you believe there has been an error or unauthorized transaction, or that your account has been compromised, contact us at support@daely.ai promptly so the matter can be raised with Cadana. Investigation and resolution of wallet, savings, and investment transactions are handled by Cadana and its partners under their terms and applicable law.

14. Inactivity and Unclaimed Funds

If your wallet is inactive for an extended period, applicable unclaimed-property (escheatment) laws may require that remaining funds be reported and remitted to a government authority, and inactivity or account fees may apply where permitted.

15. Closing Your Wallet and Account Deletion

You may stop using the wallet at any time. Because account deletion requires a zero balance, you must first withdraw or transfer all funds so that your wallet balance is US$0 before your Daely account can be deleted, as described in the Daely Terms of Service and Privacy Policy. Our team can assist at support@daely.ai. Certain records may be retained by Daely or Cadana as required by law after closure.

DAELY IS NOT A BANK, PAYMENT INSTITUTION, ESCROW PROVIDER, BROKER-DEALER, OR INVESTMENT ADVISER. THESE FUNCTIONS ARE PROVIDED BY CADANA OR ITS PARTNERS AS DESCRIBED IN THESE WALLET TERMS. NEITHER DAELY NOR CADANA GUARANTEES ANY FEE, EXCHANGE RATE, DELIVERY TIME, INTEREST RATE, OR INVESTMENT RETURN.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DAELY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF INVESTMENT VALUE, INTEREST, OR ANTICIPATED RETURNS, ARISING OUT OF OR RELATING TO THE WALLET, SAVINGS, OR INVESTMENT FEATURES. DAELY'S TOTAL LIABILITY RELATING TO THESE FEATURES IS SUBJECT TO THE LIMITATION OF LIABILITY IN THE DAELY TERMS OF SERVICE. NOTHING IN THESE WALLET TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.

18. Changes to These Wallet Terms

We may update these Wallet Terms from time to time. If we make material changes, we will post the updated version and update the “Last updated” date, and provide additional notice where required. Your continued use of the wallet after the changes take effect means you accept them.
